Welcome to the websites of LogisticsNow Private Limited ("LogisticsNow"), its affiliates and sister concerns, including but not limited to LoRRI.in ("Site"). These terms, conditions, and notices ("Terms") govern your access to and use of the Site, including access and use through any other website or platforms or mobile applications.

By accessing or using this Site in any manner, you agree to be bound by these Terms. Please read these Terms carefully. If you do not accept all of these Terms, you may not use the Site.

Be sure to return to this page periodically to review the most current version of these Terms. We may modify these Terms or any additional terms that apply to this Site to, for example, reflect changes to the law or changes to this Site. We will notify you about material changes to these Terms by either sending a notice to the email address you provided to us and/or by placing a prominent notice of modifications to these Terms on this Site. Changes addressing new functions or features of this Site or changes made for legal reasons will be effective immediately. If you do not agree to the modified Terms, you should discontinue your use of this Site.

The terms "we", "us", "our" and "LogisticsNow" refer to LogisticsNow Private Limited, a company registered under the laws of India. The term "you" refers to the person visiting this Site and/or contributing content on this Site. If you are accessing or using this Site on behalf of a business, that business accepts these Terms, and the term "you" also refers to that business undertaking.

Use of the Site

This Site allows you to search for and share information about logistics, logistics services, and transporters/vendors/ logistics service providers (LSPs), (hereinafter referred to collectively as "Vendor" or "Vendors"), communicate with others, and/or create new content including but not limited to recommendations, ratings and reviews. However, you decide what information you want to share with the public, since you have the option to post your ratings and reviews anonymously.

As a condition of your use of this Site, you warrant that (i) all information supplied by you on this Site is true, accurate, current, and complete, (ii) if you have a Site account ("Registered User"), you will safeguard your account information and will supervise and be completely responsible for any use of your account by anyone other than you, and (iii) you are 18 years of age or older. LogisticsNow does not knowingly collect the information of anyone under the age of 18. We retain the right at our sole discretion to deny access to anyone to this Site and the content we offer, at any time and for any reason, including, but not limited to, for violation of these Terms.

Please be advised that all reviews, including any endorsements, of Vendors contained on this Site are the opinions of the reviewers of those services, or Vendors and not those of LogisticsNow. LogisticsNow from time to time may provide incentives to encourage visitors to this Site to submit reviews. Any such incentives, however, are not dependent on whether the review is positive or negative.

Vendor Undertaking

You hereby confirm that you are authorized to make representations on behalf of your organization. Vendors are legally bound by the representations, undertakings and any information, bids, rates or other similar representations that you make to LogisticsNow or any of its employees, contractors, agency, clients on this Site or over electronic communication including email, whatsapp etc. You hereby confirm and represent that you will not withdraw or go back on any such undertakings, responsibilities, or information that you have provided to Us. You will honour any bids, deposits, rates, or similar procurement and / or reverse auction related representations from time to time. The lowest bid in a Reverse Auction does not automatically become the winning bid, LogisticsNow and LogisticsNow Client's decision on award of contract shall be final and legally binding on you. LogisticsNow and LogisticsNow Clients make no commitments, explicit or implicit that any procurement process including but not limited to Reverse Auctions run on this Site will result in a business transaction with anyone. You hereby confirm that you will not try to influence the Request For Quotations (RFQ) evaluation process or any other process run on this Site by unlawful/corrupt/fraudulent means at any point of time during the procurement process, reverse auction or at any other stage.

The Vendor will be completely liable to past, present or future customers for any misrepresentation or inaccurate representation of facts as a part of their profile. LogisticsNow makes no claim to provide any business opportunity or assured business to any Vendor. Vendor's profile is for them to maintain. Any errors or misrepresentation therein is their sole responsibility for any reason whatsoever.

Please note your LoRRI profile being 90% complete and Vendror being rated on LoRRI is mandatory for them to be shortlisted for business. Any exception to this may be at the sole discretion of LogisticsNow customers.

Your expression of interest does not guarantee any business from any of the companies listed here or added by you on LoRRI. LogisticsNow in no manner gives any business assurance or surety of the Vendor procuring business by use of this Site. LogisticsNow does not guarantee response or business from companies on submission of your freight rate against any enquiry(s) floated by the companies on the Site using LoRRI Benchmark or any other feature.

Prohibited Activities

The content and information on this Site (including, but not limited to, messages, data, freight rates, Vendor's LoRRI profiles, information, text, reviews, ratings, recommendations, software, code, or other material), as well as the infrastructure used to provide such content and information, is confidential and proprietary to us, except as expressly provided in these Terms. You agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any such content or information obtained from or through this Site.

Additionally, you agree not to:

1. use this Site or its contents for any commercial purpose without our express written permission;
2. access, monitor, or copy any content or information of this Site using any robot, spider, scraper, or other automated means or any manual process for any purpose without our express written permission;
3. violate the restrictions in any robot exclusion headers on this Site or bypass or circumvent other measures employed to prevent or limit access to this Site;
4. take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our technology infrastructure;
5. deep-link to any portion of this Site for any purpose without our express written permission;
6. "frame", "mirror", or otherwise incorporate any part of this Site into any other website or mobile application without our prior written authorization;
7. attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by LogisticsNow in connection with this Site or the content we provide;
8. post reviews on products or services offered by your current employer or by direct competitors of your current employer or by an entity in which you have a direct or indirect vested interest; or
9. log in using an alias that masks your true identity or the true identity of your organization.

Reviews, Comments, and Use of Other Interactive Areas

We appreciate hearing from you. To that end, this Site contains various forums through which you and Vendors may post reviews of experiences using technologies and services or post or link other content, reviews, ratings, recommendations, comments, messages, materials, videos, or other items to this Site ("Interactive Areas"). If LogisticsNow provides you access to such Interactive Areas (as a Registered User or otherwise), you are solely responsible for your use of such Interactive Areas and use them at your own risk. By using any Interactive Areas, you expressly agree not to post, link, upload to, transmit, distribute, store, create, or otherwise publish through this Site any of the following:

1. Any message, data, information, content, reviews, ratings, recommendations, comments video, or any other material ("Content") that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, or otherwise objectionable;
2. Content that would constitute, encourage, or provide instructions for a criminal offense, violate the rights of any party, or otherwise create liability or violate any local, state, national, or international law.
3. Content that may infringe or misappropriate any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any party;
4. Content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity, including LogisticsNow;
5. Unsolicited promotions, political campaigning, advertising, contests, raffles, or solicitations;
6. Private information of any third party, including, without limitation, surname (family name), addresses, phone numbers, email addresses, Social Security numbers, financial information, and credit card numbers;
7. Viruses, corrupted data, or other harmful, disruptive, or destructive files;
8. Content that is unrelated to the topic of the Interactive Area(s) in which such Content is posted, linked, or otherwise published; or
9. Content or links to content that, in the sole judgment of LogisticsNow, (i) violates the previous subsections herein, (ii) is objectionable, (iii) restricts or inhibits any other person from using or enjoying the Interactive Areas or this Site, or (iv) may expose LogisticsNow or its affiliates or its or their users and/or sublicensees to any harm or liability of any type.

Any use of the Interactive Areas or other portions of this Site in violation of the foregoing violates these Terms and may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or this Site.

Without limiting the foregoing, LogisticsNow takes no responsibility and assumes no liability for any content posted, stored, or uploaded by you or any third party, or for any loss or damage thereto, nor is LogisticsNow liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography, or profanity you may encounter. As a provider of interactive services, LogisticsNow is not liable for any statements, representations, or content provided by its users in any public forum or other Interactive Area. Although LogisticsNow has no obligation to screen, edit, or monitor any of the Content posted to or distributed through any Interactive Area, LogisticsNow reserves the right, and has absolute discretion, to remove, screen, or edit, without notice, any Content posted or stored on this Site at any time and for any reason, and you are solely responsible for creating backup copies of and replacing any Content you post or store on this Site at your sole cost and expense.

Terms of Use for LoRRI Benchmark

LoRRI Benchmark is provided for informational and directional guidance purpose only and LogisticsNow has no liability whatsoever from usage of LoRRI Benchmark or this Site. LoRRI Benchmark represents full truck load (FTL) contracted freight rates in terms of Median Rate (an indicative central freight rate value of the range of contracted freight rates on the respective lanes) and Maximum Rate (an indicative value of the maximum contracted freight rates currently being operated on the lane) Full Truck Load (FTL) freight rates for a lane ("Origin" location - "Destination" location and Truck type combination). All freight rates displayed on LoRRI Benchmark maybe normalised with respect to fuel & volume growth for particular industry and may be updated periodically. All locations within a pre-defined range of certain location ("Cluster") will be considered as a single group/ entity for Freight Rate Analysis in this Site. Cluster Groups indicate high possibility of similar rate ranges for all locations in a single cluster and may provide more options to you. Please note that Cluster based freight might vary from the point to point freight rate resulting in only an approximate directional range of freight for any lane.

Please note that LoRRI Benchmark on this Site is Not Suitable for informational and directional contracted freight rate guidance for:

1. Dedicated trucks
2. Specialized movements
3. Specialized and/or custom-made truck types
4. Truck types less than 6 Metric Tonne (MT) carrying capacity
5. Distance less than 150km between "Origin" location and "Destination" location

LogisticsNow does not make any claim as to the accuracy of the Median Rate or the Maximum Rate or their suitability for the user or Vendor given that they will depend on multiple factors specific to you and your industry including (but not limited to) your:

1. Transport model (market/one way, two way/dedicated, guaranteed mileage etc.)
2. Payment terms
3. Insurance clause (for cargo, i.e. material carried in the truck or container for consigner to consignee)
4. Contract tenure
5. Market conditions (at the time of contracting)
6. Nature of cargo
7. Value of cargo
8. Detention clause and range of detention at unloading points
9. Damages and shortage clause
10. Industry practices
11. Freight inclusions / exclusions
12. Nature of Vendor contracted (Fleet owner, market operator, hybrid etc.)
13. Vedor's network and experience in a specific area / zone / lane
14. Nature of dispatch pattern
15. Impact of seasonality on dispatch pattern
16. Other variations in dispatch pattern: month-end, quarter-end and year-end (volume variations and predictability)
17. Vendor Management processes including grievance redressal
18. Other charges
    1. Loading
    2. Unloading
    3. Hamali / Varai / Matadi
    4. Statistical charges
    5. Tolls
    6. Maintenance
19. Truck /Fleet / Asset utilization
20. Digitization (of documentation, POD etc.)

By using LoRRI Benchmark and Site, you expressly agree to the following:

1. The content used to derive the LoRRI Benchmark is in possession of LogisticsNow and obtained from various sources including but not limited to studies, online tools, market projections and data assimilation, data analysis and data processing through humans and machine tool believed to be accurate and reliable. However due to the possibility of human and mechanical error or other factors beyond our control, LogisticsNow expressly disclaims liability for any errors or omissions.
2. Although the LoRRI Benchmark is deemed to be reliable, and despite reasonable efforts from LogisticsNow, the Benchmark may sometimes include erroneous data, wrong charges, calculation errors and may not be strictly representative of the movement for any particular lane or in general. This risk is increased by the fact that there are no data standards, common terms & conditions (listed above) including but not limited to insurance clause, fuel clause, or standard charges in the logistics industry and there are marquee factors changing dynamically in time.
3. LogisticsNow does not guarantee or in any way imply truck placement at the median and/or maximum or in the range (between median and maximum) freight rate as displayed on the Site in LoRRI Benchmark for any lane.
4. LogisticsNow does not guarantee response or imply placement of trucks by Vendor to whom enquiry(s) has been sent using the Site and disclaims any liability whatsoever resulting from non-performance of the Vendor or other issues caused by any Vendor listed on Site.
5. LogisticsNow does not vet or attest to the freight rates quoted by Vendor in response to your enquiry(s) and has no liability whatsoever if a Vendor defaults after quoting a rate in response to your inquiry.
6. LogisticsNow reserves the right to make changes to the information herein and on the Site without any prior notification; these changes may or may not be incorporated in any new version of the publication.

License and Consent to Use Submissions

Please be aware that by submitting Content to this Site by postings or links on this Site, electronic mail, or otherwise, including service or third party ratings, recommendations, reviews, questions, comments, suggestions, ideas, or the like contained in any submissions, (individually and collectively, "Submissions"), you grant LogisticsNow and its affiliates an exclusive, royalty-free, perpetual transferable, irrevocable and fully sub-licensable right to (a) use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from, and publicly display and perform such Submissions throughout the world in any media, now known or hereafter devised; and (b) use the name and other personal information, including your likeness, that you submit in connection with each such Submission. You acknowledge that LogisticsNow will only provide direct attribution of your Submissions with your permission or in order to cooperate with legitimate governmental requests, subpoenas, or court orders. You acknowledge and agree that no Submissions will include confidential or proprietary information of a third party or information that you otherwise are not allowed to disclose to the public. You acknowledge and agree that your Submissions, your name, and, if you include a photo in your profile or submit a video review, your likeness, and any other personal characteristics or private information you include with your Submissions, may be used by us, our affiliates, and our sub-licensees through other websites (including advertising on such sites as described below), social media sites (including advertising on such sites as described below), platforms, mobile apps, and/or other marketing materials, such as slide decks or case studies, all as further described in our Privacy Policy.

With respect to reviews included in your Submissions (whether written or video), you implicitly grant permission at the time of your Submission to the use of that review, and the name, likeness, and other personal characteristics and private information you include with your Submission, for advertising, promotion, and other commercial and business purposes. Your consent means that:

1. you irrevocably permit, authorize, grant, and license the provider of the reviewed product or service and its affiliates, successors, and assigns, and LogisticsNow and its affiliates, successors, and assigns, and each of their respective licensees, advertising agencies, promotion agencies, and fulfillment agencies, and the employees, officers, directors, and agents of each and all of them ("Authorized Persons"), the rights to publicly display, publicly perform, exhibit, transmit, broadcast, reproduce, record, photograph, digitize, adapt, create derivative works, exploit, sell, rent, license, otherwise use, and permit others to use your name, image, likeness/appearance, voice, professional biographical information, and review Content, each and all solely to the extent and as reflected in the review Content that you voluntarily submit to this Site (it being understood that the foregoing does not permit the Authorized Persons to materially modify or otherwise materially alter the meaning or context of the review or any information that you submit with the review and that is posted on this Site), and all materials created by or on behalf of the Authorized Persons that incorporate any of the foregoing ("Materials"), in perpetuity, throughout the world in any medium or format whatsoever, now existing or hereafter created, in and on social media platforms, including those made available on the internet and/or mobile applications, and as part of infographics and/or storyboards, without further consent from or royalty, payment, or other compensation to you;

You agree to defend and indemnify LogisticsNow and its affiliates and licensees and any of its or their officers, directors, employees, and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties, liabilities, or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:

1. your breach of these Terms or the documents referenced herein;
2. your violation of any law or the rights of a third party; or
3. your use of this Site.

Any reproduction, redistribution, or disclosure of the Software and/or Licensed Materials is expressly prohibited and may result in severe civil and criminal penalties. These Terms are governed by the laws of India. You hereby consent to the exclusive jurisdiction and venue of Mumbai and stipulate to the fairness and convenience of proceedings in such courts for all disputes arising out of or relating to the use of this Site.

You agree that no joint venture, agency, partnership, or employment relationship exists between you and LogisticsNow and/or affiliates as a result of these Terms or use of this Site.

Our performance under these Terms is subject to existing laws and legal process, and nothing contained in these Terms limits our right to comply with law enforcement or other governmental or legal requests or requirements relating to your use of this Site or information provided to, or gathered by, us with respect to such use. To the extent allowed by applicable law, you agree that you will bring any claim or cause of action arising from or relating to your access or use of this Site within two (2) years from the date on which such claim or action arose or accrued or such claim or cause of action will be irrevocably waived.

If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remaining provisions in these Terms shall continue in effect.

Fictitious names of companies, products, people, characters, and/or data mentioned on this Site are not intended to represent any real individual, company, product, or event. Any rights not expressly granted herein are reserved.

Online Payment Terms
